A direct public offering is when a company raises capital by selling its shares directly to what is referred to as affinity groups, unlike an IPO which are sold by a broker dealer to its customers and the general public through other broker dealers who have customers interested in buying shares in the company.
In IPO’s you have a firm commitment underwriting, where the underwriters promise to purchase the securities for their own account if they can not sell them to customers.
Best-effort underwriting: The underwriters do not guarantee any specific number of shares to be sold, they merely act as brokers.
In an IPO the lead underwriter is referred to as the syndicate manager, he keeps the book and invites other broker dealers to join the syndicate. In a firm commitment underwriting, an underwriter’s agreement makes members liable for any unsold securities, regardless of how much of their allotment they sold. .
In a direct public offering the company sells the shares to affinity groups; who falls in this category? Customers, suppliers, distributors, friends, family, employees and other members of the community. In a direct public offering (DPO) the company places its shares in the hands of those people who are familiar with the company and know the company’s product and management, and are most likely to hold the shares longer because they feel comfortable with the company’s prospects for the future.
Direct public offerings are considerably less expensive than IPO’s and most effective for smaller offerings, for large offerings the sales staff and customer base of a broker dealer are usually necessary.
Since the affinity group is already familiar with the company and its practices it doesn’t put pressure on the company to change the way it does business, and will remain loyal to the company because of it’s presence in the community.
DPO’s are preferable to venture capital financing because it allows the present management to execute its business plan without outside interference. When a small company turns to a single large investor they tend to surrender the freedom to make all the decisions.
In a DPO like other methods of going public today audited financial statements are required. Unlike a reverse merger you choose your shareholders and you don’t have to deal with shady, unscrupulous shell owners.
Shell owners usually keep between 5-15% of the shares outstanding and are quick to liquidate, and they do not have an interest in the well being of the company’s share price. Even if you insert a stipulation in the contract that they can not sell for a year they will find a way of shorting the stock and destroying the share price.
This makes the DPO a preferable option even for companies that don’t need financing but would like to go public.
A DPO does not always require audited financials but if you plan on going public you will need them. So you must hire an auditing firm that is “peer review” or PCAOB.
If you wish to take your company public then you must file a form S-1 with the Securities and Exchange Commission and a form 211 must be filed with FINRA.
A DPO is an alternative to an IPO or Reverse Merger for a company wishing to go public or obtain financing; it allows the company owner(s) to call the shots instead of an underwriter or a shell owner.

The smaller companies that focus on turnaround consulting, private placement memorandum authoring, top tier business plan writing and taking companies public usually take a one on one approach to the consulting process and will rarely pressure clients to sign on because their phone is ringing off the hook with previous clients who want to hire them for the next stage in the evolution of their company’s growth.

Strange title I know but how else do you describe what is going on in the global finance scene. With the master weave of God and Country which equal patriotism and prosperity, what happens when it all collapses? Chaos! It would be great to believe that there are a few men in a locked room somewhere who were controlling this economic collapse and in just a matter of time they would flip a switch and it would all be ok again but none of us are nave enough to believe such a backwards conspiracy theory.
The truth is far worse. The world bank creates money starting with digital imprints on a computer screen, a little money to reel in the third world, import western goods that they can’t afford, create a situation of debt and bam, we control another country and blame it on the World Bank and the IMF and all these numbers on a screen take a shape of their own in the minds of the global populace as ‘truth’. By truth I mean the international population accepts these numbers that are nothing more than a digital expression of a think tank drone that has been trained to believe that people are pawns and that government fractions within governments is just the way it is.
But people have lost the confidence in those imaginative numbers on the screen. People have lost hope that there is someone on the other side looking out for their interests to make sure that there are jobs, a paycheck and food on the table.
Mainstream confidence in the economic powers that be is disintegrating like a sugar cube in boiling water. With our military fighting battles on multiple fronts, men, women and children have to fight to keep the governments grimy claws out of their back pockets. The Fed, top tier investment banking gurus and global financial demigods just sit and slobber at senate hearings as they, just as we know that they are all for show. The government will use this to distract global citizens until the next distraction is placed on the board and the underhanded motivations of crooked power players will have their way again.
Between the crumbling of this economic house of cards, absence of God and global warming who can step in and save us? The answer is, good old fashioned entrepreneurialship. You, me and the small business down the street. Stop looking to institutional and governmental solutions. They’ll promise you a dollar and steal your soul.

I believe that the fact that the above is the psychological reality of the American populace at this moment in time and that is what’s so disturbing. We are led to the slaughter as sacrificial lambs and we are expected to just grin and take it as it is our patriotic responsibility not to complain. Just take this two ton backpack of burdens, place them on the backs of our infants and move on. Right? I am asked to speak on the topic of global finance, IPOs and corporate globalization internationally and the one common thread I see in every country I visit is that the citizens of the host country feel that it is their patriotic duty to stand there while corrupt politicians place the noose over their children’s heads and slowly suffocate the lives out of them with debt, corruption and the economic burdens of multiple generations.
Truth be told, the patriotic thing to do is ask questions, protect our children from a mountain of growing debt and tell the institutional powers that be exactly what we demand of them. In the meantime what does a company do when they are trying to raise capital to stimulate rapid growth or stabilize their position? The last thing you want to do is open yourself up to the life sucking banking imps who lend with the intent to repossess.
Take the power back, create wealth for your family and your children’s children. Private Placement Memorandum authoring and the process of taking one’s company public are services that require extensive experience and the ability to look at a deal objectively and peripherally to evaluate all the angles to enhance the ability of the client to achieve funding in a timely manner.

The smaller companies that focus on turnaround consulting, private placement memorandum authoring, top tier business plan writing and taking companies public usually take a one on one approach to the consulting process and will rarely pressure clients to sign on because their phone is ringing off the hook with previous clients who want to hire them for the next stage in the evolution of their company’s growth.
This business is all about relationships. Ditch the consultant that applies the high pressure sales tactics and seek out the smaller, more personalized groups that don’t ‘need’ your business but will cultivate and value it.

Structure your company should spearhead your capital raising initiative. Make sure that your corporate layout is conducive to creating and retaining investor and venture capitalist attention. You should have a solid and elite executive team composed of the best of the best that your industry has to offer and if you can’t attract those in the upper echelon of your business genre, you need to take an active approach to branding them as experts using on and offline PR campaigns labeling yourselves as industry experts who are innovating industry changing solutions. Create a stir, be controversial (but not offensive) and be ready to back up your stir with empirical evidence of your knowledge and success. You should have an advisory board and board of directors composed of industry specialists. Each individual should represent a forte that makes investors start to salivate when they are reading the bio section of your business plan. They should be able to contribute with contract negotiation, strong alliance introduction capabilities and more. When choosing professionals to fill the void of adviser and director positions you should think in terms of corporate ‘growth’ and ‘stabilization’.
Next you want to make sure that your entity is prepared to receive debt and/or equity capital. You’ll need a solid business plan, don’t write it yourself, you’ll only hinder your ability to raise capital. Call a professional to write your strategic business plan. If you are a smaller business or a startup, your best bet is the OTCBB. Go back to your turnaround consultant and have them start putting you through the sec audit, sec registration, FINRA registration and Market Maker joint venture and S1 filing. They should be able to handle the entire ‘going public’ process for you and in 4 to 7 months, you’re public and trading.
Be sure to take advantage of the multitude of strategies to capitalize off of your securities. Remember there are many ways to capitalize off of your shares, selling shares through your market maker, continuously engaging in heavy PR to stabilize and enhance your stock price and another way that many entrepreneurs don’t consider as an option when raising capital, the almighty hedge lender will can lend your company money against your collateralized securities. Yes! Use your stock as security for financing. After you pay off the loan, line of credit or lease you get those shares back (be sure that your lawyer audits your contract with the lender to keep away from any convertible stock clauses). So now you are raising capital by selling stock as well as the ‘on demand’ loan or loc concept of security backed lending.
Congratulations! You’ve just completed ‘Real’ corporate finance 101! Now get out there, put your company together and start raising the capital you need.

So a little bit about us. My wife Kerry and I really are the couple next door. We are not gurus. We are just two people who happened to get into internet marketing by accident. Online Business Idea #1 – Start With What You Know
The truth is that if we can do it, you can, too. Like I said, I have not always had an online business. For 20 years, I did home remodeling. Then my wife started up a little company called Curriculum Connection. She wanted to help other homeschoolers find curriculum to use. As it grew, she began asking me, “Steve, do you know how to build web pages? How can we get online with our products?” So I started working on it, and even though I was clueless at first, I quickly figured it out. At the same time, I was in seminary.
So I was 2000 miles from home. No friends, no family, and no job. And I had to replace that remodeler income it took me 20 years to build. I had to replace it fast. And I had to do all of this in my part-time because seminary required me to read 15,000 pages a year!
So I started looking for the perfect business. And the reason I tell you this story is to say, “I know you are busy. I know you probably have a full-time job. I know that you are experiencing the same things I was experiencing. But you can start an online business on the side in your part time, and pretty soon, if you work it right, it will eclipse your day job.”
Online Business Idea #2 – Write Out Your Expectations
So I sat down and wrote out my expectations for my perfect business. I wanted to create a product one time and then get paid for it repeatedly. I only had a small amount of time to work each week, so I needed to be paid well in that time. I needed a product that was easy for me, my wife, and my partners if I ever had any. I really wanted a business that would run automatically with very little input from me. I was looking for a weekly, even monthly, paycheck. I also wanted very few start-up costs. Sounds realistic, right?
You might say I had unrealistic expectations. But think about it. There is a business that would meet all my needs: creating and selling information products online. Once you have created it, you can sell it over and over again.
You can invest a few hours a week and get paid really, really well. You can sell a product, have it get delivered, get paid, have your affiliate partners get paid all without you doing a thing. Just set it and forget it. And you can turn every sale into a monthly income stream.
Online Business Idea #3 – Start Small
You may have multiple dollar signs flashing through your mind, but I challenge you to think realistically. You can start an online business with only a small investment. You can own a domain name for $15 a year. You can pay $50 a year to host your site and another $20 to employ an autoresponder. It is a good idea to start small and grow into your business. Think of it as a snowball rolling downhill.

Demolition is the opposite of construction. It is when a building or other structure is torn down to make room for something else. What do you do when you’re against a building destruction?
